1. Agreement Overview

These Terms of Service ("Terms") govern your access to and use of Memberfyi's services. By subscribing to or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Memberfyi reserves the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.

3.1 Scope of Services

Memberfyi will provide the Services outlined in your chosen subscription plan. Each subscription tier includes specific services as detailed on our pricing page.

3.2 Request Handling

• Clients may submit unlimited requests based on their subscription plan
• Requests are processed one at a time unless multiple subscriptions are purchased
• Each request must include clear specifications and all necessary materials
• Memberfyi reserves the right to decline requests that fall outside our scope of expertise

3.3 Turnaround Times

While we strive to deliver projects within 2-5 business days, turnaround times are estimates and may vary based on project complexity. Delivery timelines are not guaranteed unless explicitly agreed upon in writing.

4. Client Responsibilities

4.1 Content Provision

Clients must provide all necessary content, materials, assets, and information required to complete requests in a timely manner. Delays in providing materials may result in extended delivery times.

4.2 Feedback and Revisions

Clients are responsible for reviewing deliverables and providing clear, actionable feedback. Unlimited revisions are included in subscription plans, but each revision cycle requires specific direction.

4.3 Legal Compliance

Clients warrant that all content provided does not infringe on any third-party rights and complies with applicable laws and regulations.

5. Subscription Terms

5.1 Billing

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as provided in our refund policy.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled by the Client before the renewal date.

5.3 Cancellation

Clients may cancel their subscription at any time through their account dashboard. Cancellations take effect at the end of the current billing period. No partial refunds are provided for unused time.

5.4 Money-Back Guarantee

First-time subscribers may request a full refund within 14 days of their initial subscription if not satisfied with our services. This guarantee applies only to the first billing cycle.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon full payment, Clients receive full ownership and rights to all final deliverables created specifically for them. This includes all source files and assets.

6.2 Third-Party Materials

Some deliverables may include third-party licensed materials (stock photos, fonts, plugins, etc.). Clients are responsible for maintaining appropriate licenses for these materials.

6.3 Portfolio Rights

Memberfyi reserves the right to showcase completed work in our portfolio and marketing materials unless the Client explicitly requests otherwise in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation continues even after termination of services.

8. Limitation of Liability

Memberfyi's total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by the Client during the twelve months preceding the claim.

Memberfyi is not liable for indirect, incidental, consequential, or special damages including lost profits, revenue, or data, even if advised of the possibility of such damages.

9. Warranties and Disclaimers

9.1 Service Warranty

Memberfyi warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.

9.2 Disclaimer

Except as expressly stated, all Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

10. Indemnification

Client agrees to indemnify and hold Memberfyi harmless from any claims, damages, or expenses arising from: (a) Client's breach of these Terms, (b) Client's violation of any law or third-party rights, or (c) content provided by Client.

11. Termination

Either party may terminate this agreement with written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notification.

Memberfyi reserves the right to suspend or terminate services immediately if Client engages in abusive behavior, provides fraudulent information, or violates these Terms.

12. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good faith negotiation between the parties.

If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. General Provisions

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to conflict of law principles.

13.2 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings relating to the subject matter.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment

Client may not assign or transfer these Terms without Memberfyi's prior written consent. Memberfyi may assign these Terms without restriction.
